If special tooling is to be used exclusively for a single customer, that customer shall pay for the tooling in advance. Please contact your sales representative for more details.
1% 10, Net 30 days, F.O.B. Eminence, KY 40019. Credit approval is required for all accounts. Cash in advance on all accounts until credit is approved. An account is considered past due if there is any unpaid balance after 45 days from the date of invoice. All releases will be removed from the schedule, to be rescheduled at Eminence Speaker’s discretion once the account becomes current. Interest at 1.5% per month will be charged on the unpaid balance of all past due invoices.
All Custom Manufactured (OEM) Eminence Speaker products are subject to rigid inspection prior to shipment. Eminence warrants that each product shall be free from manufacturing defects for a period of 18 months beginning on the date of manufacture as specified by the product identification label. Eminence cannot be responsible for damages to items during shipping. Minimum Quantity & Billing
Eminence Speaker reserves the right to set minimum order quantities based on production quantities and raw material purchases. The normal minimum release quantity is 50 pieces per model. Our minimum billing is 50 pieces per model per order.
Order Placement and Pricing
All purchase orders must be in writing and signed by the buyer (FAX or email acceptable). Eminence Speaker will not produce any orders which do not specify definite release dates or which specify release dates exceeding six months. If we receive an order designated “produce and hold”, we will not manufacture any parts until we receive a firm release. The parts will then be scheduled according to the current lead time. Eminence Speaker LLC reserves the right to adjust prices at any time due to cost increases.
Eminence will not normally accept reschedules or product changes within five (5) weeks of the confirmed ship date. Change requests do not relieve the customer of the responsibility for materials purchased, work in process, etc., nor does it guarantee that the requested change will be allowed.
If an order is canceled prior to the purchase of raw material, there will be no cancellation charge. If an order is canceled after raw material has been purchased and/or production has started, a cancellation charge will be involved. This charge will cover raw material costs, production expenses up to the time of cancellation, and the normal gross margin for the item in question.
Early Shipment & Over/Under Shipment
In an effort to maintain delivery schedules, Eminence Speaker reserves the option to ship material not more than two weeks in advance of the requested date on the order. Eminence Speaker reserves the right to over or under ship by up to 5%.
Eminence Speaker will not accept any returns without prior written consent and under terms specified in the return authorization. Notification of intent to return product must be made in writing to Eminence Speaker within 30 days inspection period following receipt of shipment. Please describe reason for intention to return. All returns must be packed carefully for shipment in original cartons/pallets or approved equivalent.
Note: All returned merchandise becomes the property of Eminence Speaker LLC upon return inspection. No units or any parts of units will be returned to the buyer whether credit is given or not. Please do not return units you know will not qualify for credit. This would include, but is not limited to, speakers that have failed from excessive power, speakers that have sustained external damage such as bent baskets or punctures in the cone or surround, or sample speakers requested from our engineering department. Eminence Speaker reserves the right to invoice you for freight for non-creditworthy returns.
